Scribeside is an AI-powered medical scribe and clinical documentation platform. It assists authorized users in transcribing patient encounters and generating structured clinical notes. The service is a closed system: accounts are created only by an Administrator. There is no public sign-up. Access is restricted to users who have been granted accounts by your organization's Administrator.

Account and Access

You are responsible for maintaining the confidentiality of your credentials and for any activity under your account. You must not share your account or credentials with others. You are responsible for complying with any multi-factor authentication (2FA) requirements. The Administrator may suspend or remove your access in accordance with your organization's policies or these Terms.

User Obligations

You agree to:

• Provide accurate information and use the service only for lawful purposes.
• Comply with applicable laws and your own professional and organizational policies, including those related to patient privacy (e.g., HIPAA) and clinical documentation.
• Not misuse the service or patient data, and not attempt to gain unauthorized access to any systems or data.
• Accept professional responsibility for all clinical decisions and documentation. The service assists with documentation; it does not replace your professional judgment or obligations.

Intellectual Property

Scribeside and its content, features, and technology are owned by Scribeside or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the service in accordance with these Terms. You do not acquire any ownership rights in the service or our intellectual property.

Disclaimers

AI-generated content (including transcripts and draft notes) must be reviewed and verified by qualified professionals before reliance. The service is not a substitute for professional judgment or clinical decision-making. The service is provided "as is" and "as available" to the extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose beyond its described functionality.

Limitation of Liability

To the maximum extent permitted by applicable law, Scribeside and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or use, arising out of or in connection with your use of the service. Our total liability for any claims arising from or related to the service shall not exceed the amount you paid for the service in the twelve (12) months preceding the claim, or if no fee was paid, a sum determined in our sole discretion. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Termination

You may stop using the service at any time. We or your Administrator may suspend or terminate your access to the service for violation of these Terms, for security or compliance reasons, or as otherwise set out in your organization's agreement with us. Upon termination, your right to access and use the service ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.

Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
